In order to protect your personal information, you should never provide social security, credit card or bank account numbers or other personal financial information to prospective employers or any other party or company via OppsPlace, LLC (“OppsPlace”).

Terms of Use

This document contains the Terms ("Terms") under which you ("You") may use the OppsPlace website at http://www.oppsplace.com (the “Site”). These Terms include the OppsPlace Privacy Policy, which is incorporated into these Terms by reference.

These Terms are a contract between You, on the one hand, and OppsPlace, LLC. By using the Site, you accept and agree to be bound by these Terms, and represent that you have the authority to bind yourself or your company to these Terms. If You do not accept the Terms stated here, you should refrain from posting or engaging in any activity on the Site, and should leave the Site immediately.

OppsPlace and the Site include a variety of features and services, including an on-line service to post searchable information regarding employment opportunities. The Site also allows Users to create individual profiles, which may include personal information (“Profiles”), and to make these Profiles, or aspects thereof, public. The Site may also include on-line communities designed to facilitate valuable professional and personal networking among users of the Site (“Users”) based on common experiences and interests.

OppsPlace may revise these Terms at any time by posting an updated version to this Web page. We recommend that you visit this page periodically to review the most current Terms because they are binding on You.

Users who violate these Terms may be suspended or prohibited from accessing the Site, and have any content they have previously uploaded to the Site removed, at OppsPlace’s discretion.

You must be 13 years of age or older to visit or use any OppsPlace Site in any manner, and, if under the age of 18 or the age of majority as that is defined in Your jurisdiction, you must use OppsPlace under the supervision of a parent, legal guardian, or other responsible adult.

You are responsible for maintaining the confidentiality of Your account, any content uploaded by You, and Your passwords, as applicable. Do not share Your password or other account access information with any other party. You are responsible for all uses of Your OppsPlace registrations and passwords, whether or not authorized by You. You agree to immediately notify OppsPlace of any unauthorized use of Your account or passwords.

1. Proprietary Rights.

All content and functionality on the Site, including text, graphics, logos, button icons, images, digital downloads, data compilations, and software and the selection and arrangement thereof (the “OppsPlace Content”), is the exclusive property of OppsPlace or its licensors and is protected by U.S. and international copyright laws. All rights not expressly granted are reserved. The trademarks, service marks, designs, and logos (collectively, the "Trademarks") displayed on the Site are the registered and unregistered Trademarks of OppsPlace and its licensors. You agree not to change or delete any proprietary notices from materials printed or downloaded from the Site. You agree that you will not refer to or attribute any information to OppsPlace or its licensors in any public medium (e.g., press release, Web sites) for advertising or promotion purposes, or for the purpose of informing or influencing any third party and that you will not use or reproduce any Trademark of, or imply any endorsement by or relationship with, OppsPlace or its licensors.

2. Use of OppsPlace Content.

OppsPlace authorizes You, subject to these Terms, to access and use the Site and the OppsPlace Content and to download and print a single copy of the content available on or from the OppsPlace or the Site solely for Your personal, non-commercial use only. You may not (a) copy or adapt the HTML code used to generate web pages on the Site; (b) use or attempt to use engines, manual or automated software, tools, devices, agents, scripts robots or other means, devices, mechanisms or processes (including, but not limited to, browsers, spiders, robots, avatars or intelligent agents) to navigate, search, access, “scrape,” “crawl,” or “spider” any web pages or any services provided on the Sites other than the search engine and search agents available from OppsPlace on the Site and other than generally available third party web browsers (e.g., Internet Explorer, Firefox, Safari); or (c) aggregate, copy or duplicate in any manner any of the OppsPlace Content.

3. Use of the OppsPlace Services.

The Site may be used only by individuals seeking employment and/or career information and by employers seeking employees. You agree not to make any unauthorized use of OppsPlace and the Site.

You may not:

(a) post content that is harassing, incites harassment or advocates harassment of any group, company, or individual, or is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, of a menacing character, likely to cause annoyance, inconvenience, embarrassment, anxiety, contains pornographic, indecent or sexually explicit material of any kind, or contains material that exploits people in a sexual, violent or other manner, as determined by OppsPlace in its sole discretion;

(b) transmit, post, distribute, publicize, store or destroy material, including OppsPlace Content and User Content, in violation of (i) any applicable law or regulation, including laws or regulations governing the collection, processing, or transfer of personal information, or (ii) OppsPlace’s privacy policy;

(c) take any action that imposes an unreasonable or disproportionately large load on, or otherwise interferes with, any OppsPlace infrastructure, including, without limitation, via means of submitting a virus to the Site, overloading, "flooding", "spamming", "mailbombing" or "crashing";

(d) aggregate, copy or duplicate in any manner any of the OppsPlace Content or User Content, including expired job postings, other than as permitted by these Terms;

(e) reverse engineer or decompile, any software contained within the Site, or violate or attempt to violate the security of the Site, including any attempt to probe, scan or test the vulnerability of the Site or to breach security or authentication measures without proper authorization;

(f) frame or link from another website to any OppsPlace Content or information available from the Site, unless permitted by these Terms;

(g) post any content or material that contains incomplete, false or misleading information, promotes or endorses illegal activities, or provides instructional information about illegal activities or other activities prohibited by these Terms, such as making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating media;

(h) post any resume or apply for any job on behalf of any other person;

(i) contact any employer through any agent, agency, or other third party, or refer any employer to any agent, agency or third party;

(j) set more than one copy of the same resume to public at any one time;

(k) access data not intended for You or logging into a server or account which You are not authorized to access;

(l) post content that contains restricted or password-only access pages, or hidden pages or images;

(m) delete or alter any material other than material You have posted;

(n) contact other Users in any manner or for any purpose other than that which is expected (i.e., to apply for a job or to initiate further discussion with a candidate), solicit login information or other personal information from any other User, or send unsolicited mail or email, make unsolicited phone calls or send unsolicited faxes to any User;

(o) contact any users that have specifically requested not to be contacted by You;

(p) promote or endorse an illegal or unauthorized copy of another person's copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files, or otherwise infringe the intellectual property rights of any person; or

(q) use the OppsPlace Services for any unlawful purpose or any illegal activity.

Violations of any of these terms may result in civil and/or criminal liability. OppsPlace will investigate events that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations. While OppsPlace is under no obligation to monitor content posted on the Site, it may monitor content at random. Content found to violate the guidelines described above, or content that OppsPlace deems could create liability for OppsPlace, damage OppsPlace’s brand or public image, or cause OppsPlace to lose Users or (in whole or in part) the services of its ISPs or other suppliers, may be removed in OppsPlace’s sole discretion.

4. Additional Terms Applicable to Employers.

Employers are solely responsible for their postings on OppsPlace. OppsPlace shall not be responsible for any employment decisions made by any employer.

In the event that Your employer account is terminated, all information You have saved on OppsPlace, including saved resumes, network contacts, and email mailing lists, will no longer be available to you.

Job postings

A Job posting may not contain:

(a) any links that will direct any User away from the Site, other than those specifically authorized by OppsPlace;

(b) misleading, unreadable, or "hidden" keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in OppsPlace’s reasonable discretion;

(c) the names, logos or trademarks of any other Company, unless you have the right to use the owner’s permission to post them;

(d) the names of colleges, cities, states, towns or countries that are unrelated to the posting;

(e) more than one job or job description, more than one location, or more than one job category, unless the product so allows; or

(f) any solicitation of personal information from anyone under 18.

You may not use Your OppsPlace job posting to:

(a) post jobs in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;

(b) require citizenship of any particular country or lawful permanent residence in any particular country as a condition of employment, unless otherwise required in order to comply with law, regulations, executive order, or federal, state or local government contract;

(c) include any screening requirement or criterion in a posted job, except where such requirement or criterion is an actual and legal requirement of the posted job;

(d) promote any opportunity that does not represent bona fide employment for which the employee will receive IRS forms W-2 or 1099;

(e) post jobs or other advertisements for competitors of OppsPlace or post jobs or other content that contains links to any site competitive with OppsPlace;

(f) sell, promote or advertise products or services, including any franchise, pyramid scheme, distributorship, multi-level marketing arrangement, or sales representative agency arrangement;

(g) post any opportunity that requires an up front or periodic payment or requires recruitment of other members, sub-distributors or sub-agents;

(h) post any opportunity that pays commission only unless the posting clearly states that such opportunity is commission only and clearly describes the product or service that the job seeker would be selling;

(i) endorse a particular religion, political party, political agenda, or political position;

(j) except where allowed by applicable law, post jobs which require the applicant to provide information relating to his/her (i) racial or ethnic origin, (ii) political beliefs, (iii) philosophical or religious beliefs, (iv) membership in a trade union, (v) physical or mental health, (vi) sexual life, (vii) the commission of criminal offences or proceedings, or (vii) age;

(k) advertise sexual services or seek employees for jobs of a sexual nature, or request the use or donation human body parts, including, without limitation, reproductive services such as egg donation and surrogacy; or

(l) post jobs located in countries subject to economic sanctions of the United States Government.

OppsPlace reserves the right to remove any job posting or content from OppsPlace in its sole discretion.

Resume Database

Use of the OppsPlace Resume Database by Employers

You may only use the OppsPlace Resume Database in accordance with these Terms and in any contract You have with OppsPlace. You may only use the OppsPlace Resume Database in accordance with all applicable privacy and data protection laws. You are not permitted to disclose any data from OppsPlace’s Resume Database to any third party. You are required to protect the data You have obtained from OppsPlace Resume Database from loss, misuse, unauthorized access, disclosure, alteration or destruction through appropriate physical, technical, and administrative measures.

You may not use the OppsPlace Resume Database:

(a) to contact any individual unless they have agreed to be contacted (or, if consent is not required, who has not informed you that they do not want to be contacted); or

(b) to contact Users regarding career fairs or business opportunities prohibited by this Section 4.

5. Additional terms applicable to Job Seekers.

When You register with OppsPlace, You will be asked to create an account and provide OppsPlace with certain information including, without limitation, a valid email address (Your "Information").

Any Profile You submit must be accurate and describe You and no any other person. You may not include in your Profile any information other than that which is required by the Profile.

You have no ownership rights in Your account. If you cancel your account or your account is terminated, all information You have posted to the Site, including resumes, Profiles, cover letters, and saved jobs, will be removed all public portions of the Site and will be deleted from the Site. However, you should note that any third party that has accessed Your information may retain saved copies.

6. User Content and Submissions.

By submitting, posting or displaying information, data, text, software, music, sound, photographs, graphics, video, advertisements, messages or other materials (“User Content”) on or through the Site you grant OppsPlace a worldwide, non-exclusive, royalty-free license to reproduce, adapt, distribute and publish such User Content through OppsPlace. By submitting any User Content which is intended to be available to the general public, you grant OppsPlace a worldwide, non-exclusive, royalty-free license to reproduce, adapt, distribute and publish such User Content for the purpose of promoting OppsPlace and its services. Once you remove any User Content from the Site, OppsPlace will discontinue this licensed use within a commercially reasonable period. OppsPlace reserves the right to refuse to accept, post, display or transmit any User Content in its sole discretion.

7. Infringement of Copyright and other Intellectual Property Rights.

OppsPlace prohibits the posting of any information that infringes or violates the copyright rights and/or other intellectual property rights (including rights of privacy and publicity) of any person or entity.

If you believe that your intellectual property right (or an intellectual property right that you are responsible for enforcing) is infringed by any content on the Site, please send to OppsPlace a written statement that contains: (a) identification of the copyrighted work and/or intellectual property right claimed to have been infringed; (b) identification of the allegedly infringing material on the Site; (c) your name, address, and daytime telephone number, and an e-mail address if available; (d) a statement that you have a good faith belief that the use of the copyrighted work and/or exercise of the intellectual property right is not authorized by the owner, its agent, or the law; (e) a statement that the information in the notification is accurate, and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the right that is allegedly infringed; and (f) the signature of the intellectual property right owner or someone authorized on the owner's behalf to assert infringement of the right. OppsPlace will remove any posted submission that infringes the copyright or other intellectual property right of any person under U.S. law upon receipt of such a statement (or any statement in conformance with DMCA, 17 U.S.C. §512(c)(3)).

Note that U.S. law provides significant penalties for submitting such a statement falsely. OppsPlace’s contact for submission of notices under this Section 9 is: OPPSPLACE LLC, 3 Bethesda Metro Center, Suite 1000, Bethesda, MD 20814.

OppsPlace reserves the right to limit access to the Site and/or terminate the accounts of Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement, with or without notice, and without any liability to any such User.

8. OppsPlace's Liability.

The Site exists as a venue for (i) employers to post job opportunities and search for and evaluate job candidates and (ii) candidates to post resumes and Profiles and search for and evaluate job opportunities. OppsPlace is not involved in the actual transaction between employers and candidates. OppsPlace has not vetted the employers or job seekers listed on the Site, including the identities of any employer or job seeker. OppsPlace is not responsible for the truth or accuracy of any User Content or the quality, safety or legality of the jobs or resumes posted. OppsPlace makes no representations regarding any jobs, resumes or User Content on OppsPlace. OppsPlace neither assumes nor bears any responsibility for the employment practices of any employer.

OppsPlace takes no responsibility for any User Content on the Site. While OppsPlace may monitor and remove User Content from the Site, OppsPlace has no obligation to do so and to the extent permitted by law, disclaims any liability for failing to take any such action.

There may be risks, including legal risks and the risk of physical harm, in dealing with strangers and underage persons. You assume all risks associated with dealing with other users with whom You come in contact through OppsPlace.

By its very nature other people’s information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that You will use caution and common sense when using the Site. OppsPlace bears no responsibility for interactions between users. You hereby release OppsPlace (and its agents and employees) from any and all claims, losses, demands, liabilities and damages (actual and consequential and direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, whether now existing or arising in the future, arising out of or in any way connected with Your interactions with other Users, to the fullest extent permitted by law.

If You are a California resident, You waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

OppsPlace makes no claims or representations that the OppsPlace Content may be lawfully viewed or accessed outside of the United States. Access to the OppsPlace Content may not be legal by certain persons or in certain countries. If You access the Site You do so at Your own risk and are responsible for compliance with the laws of Your jurisdiction.

9. Disclaimers and Limitation on Liability.

TO THE FULLEST EXTENT PERMITTED BY LAW, OPPSPLACE DISCLAIMS ANY WARRANTY THAT THE SITE WILL OPERATE WITHOUT ERRORS OR THAT THE SITE AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL CODE. OPPSPLACE IS NOT RESPONSIBLE FOR ANY DAMAGE, SERVICING OR DESTRUCTION OF YOUR EQUIPMENT OR DATA DUE TO YOUR USE OF THE SITE. THE OPPSPLACE SITE AND ALL OPPSPLACE CONTENT AND USER CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. OPPSPLACE, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND NON-INFRINGEMENT. OPPSPLACE MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE OPPSPLACE CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS, OR ANY OTHER ELEMENT OF THE SITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER OPPSPLACE NOR ANY EMPLOYEE OR AGENT THEREOF BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA, LOST EMPLOYMENT OPPORTUNITY OR BUSINESS INTERRUPTION, AND WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY) RESULTING FROM THE USE OR INABILITY TO USE OPPSPLACE AND THE SITE, AND WHETHER OR NOT OPPSPLACE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OPPSPLACE’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED $1000.

10. Linking.

The Site may link to sites operated by third parties. However, even if the third party is affiliated with OppsPlace, OppsPlace has no control over these linked sites, all of which may have separate privacy and data collection practices, independent of OppsPlace. These linked sites are only for your convenience and therefore you access them at your own risk. Without limiting the foregoing, OppsPlace specifically disclaims any responsibility if such sites: infringe any third party's intellectual property rights; are inaccurate, incomplete or misleading; are not merchantable or fit for a particular purpose; do not provide adequate security; contain viruses or other items of a destructive nature; or are libelous or defamatory. OppsPlace does not endorse the content, or any products or services available, on such sites.

11. Indemnity.

You agree to indemnify, defend, and hold harmless OppsPlace, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, expert’s fees, resulting from any violation of these Terms or any activity related to use of the Site (including negligent or wrongful conduct) by you or any other person accessing the site using your password or Internet account.

12. Disputes.

Any disputes between You and OppsPlace shall be finally and exclusively resolved by final binding arbitration. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be performed under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Your arbitration fees and your share of arbitrator compensation shall be governed by these AAA rules. If such costs are determined by the arbitrator to be excessive, OppsPlace will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone or online as allowed by the AAA rules. Except as otherwise provided in this Agreement, you and OppsPlace may litigate in court to compel arbitration, stay proceeding pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.

You and OppsPlace agree that any arbitration shall be limited to the dispute between OppsPlace and you individually. To the full extent permitted by law, no arbitration or other dispute resolution proceeding shall be joined with any other or decided on a class-action basis.

You and OppsPlace agree that the following disputes are not subject to the above provisions concerning informal discussions and binding arbitration: (1) any disputes seeking to enforce or protect, or concerning the validity of, any intellectual property rights; (2) any dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or criminal activity; and (3) any claim for injunctive relief.

Any arbitration will take place in Maryland Any dispute not subject to arbitration (other than any claims proceeding in any small claims court), or where no election to arbitrate has been made, shall be decided by a court of competent jurisdiction within the County of Montgomery and you and OppsPlace agree to submit to the personal jurisdiction of that court. You and OppsPlace hereby waive any claim that such venue is improper or inconvenient.

These Terms are governed by the internal substantive laws of the State of Delaware, without respect to its conflict of laws principles. You agree that all agreements, notices, disclosures and other communications regarding these Terms may be made through a revised posting on this page.

13. Assignment.

OppsPlace may assign its rights and duties under these Terms of Use to any party at any time without notice to you. You agree not to resell or assign Your rights or obligations under these Terms.
